Education Services
The following constitute the terms and conditions (“Terms & Conditions”) to which applicants agree when purchasing Collibra Education Credits or Education Credit packages. Education Credits can be exchanged for instructor-led training classes called bootcamps (“Bootcamps”).
If you are agreeing to these Terms & Conditions not as an individual but on behalf of your company or other legal entity (“Customer”), then “you” or “your” shall refer to such entity, and you represent that you have the authority to bind Customer to these Terms & Conditions and you are hereby binding Customer to these Terms & Conditions.
If you do not have such authority, or if you do not agree with these Terms & Conditions, you must not accept these Terms & Conditions and may not use any documentation, whether printed or made available online in any medium, provided by Collibra in relation with the training (“Training Material”).
Collibra and you shall each be referred to as a “Party” and together as the “Parties” for purposes of these Terms & Conditions.
Collibra reserves the right to review and update these Terms & Conditions periodically at its sole discretion.
BY ACCEPTING THESE TERMS & CONDITIONS, EITHER BY CLICKING A BOX INDICATING YOUR ACCEPTANCE OR BY EXECUTING AN ORDER FORM THAT REFERENCES THESE TERMS AND CONDITIONS, OR BY USING OR ACCESSING COLLIBRA TRAINING MATERIAL, YOU AGREE TO BE BOUND BY THESE TERMS & CONDITIONS.

Services
A description of the Bootcamps together with the dates on which the Bootcamps will begin are available on Collibra’s website (“Website”). Collibra will provide the Bootcamps with reasonable care and skill in accordance with the description set out on the Website.
Please note that Collibra reserves the right to change the course content of any of the Bootcamps at any time and without notice.
Collibra expects you to confirm that the Bootcamps you are purchasing will meet your needs. Collibra does not make any guarantee to you that you will obtain a particular result, professional qualification or employment opportunity from your purchase and completion of any of the Bootcamps.

Delivery
Collibra provides education services under the following delivery methods:
- On-site Bootcamp: Traditional Instructor-Led Training [ILT] where you are required to attend a location where an instructor delivers the training. On-site Bootcamps are traditionally delivered at a location selected by the Customer.
- Virtual Bootcamp: Virtual Instructor-Led Training [VILT] where you attend the course from any location at defined dates and times, using virtual training technology provided by Collibra. Collibra offers Public and Private Virtual Bootcamps to its Customers.
- e-Learning: You can access and complete the course online at your own pace. A user account is required for you to get access to the Training Material.

Ownership and License
Collibra shall own all right, title and interest and all intellectual property rights to any Training Material and content in the Private Bootcamps, Public Bootcamps, or eLearning Courses hereunder. Collibra shall retain all right, title and interest and all intellectual property rights to any and all Training Material. Collibra grants you a limited, revocable, non-exclusive, non-transferable license to use the Training Materials pursuant to these Terms & Conditions for the purposes described herein.
Booking a Collibra course gives you the right to:
- Bootcamp: receive, possess and use the Training Material associated with the relevant Bootcamp booked, and use the attendance of such Bootcamp as a record of information for the term of this license provided that only the participant of the relevant Bootcamp may make such use of them.
Except as expressly set out in this license grant you undertake to enforce that your employees (or any other participant attending a Training Bootcamp or enrollees in an eLearning Course on your behalf or on your account so undertake):
- not to record on video or audio tape, relay by videophone or other means the delivery of any course;
- not to copy the Training Material except where such copying is incidental or necessary for the purposes of completing the relevant eLearning Course or Bootcamp;
- not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Training Material;
- not to alter, or modify, the whole or any part of the Training Material, nor permit the Training Material or any part of them to be combined with, or become incorporated into, any other materials;
- to supervise and control the use of the Training Material and ensure that they are used by your employees and representatives in accordance with these Terms & Conditions;
- to include the copyright notice of Collibra on all entire and partial copies you may make of the Training Material on any medium; and
- not to provide or otherwise make available the Training Material in whole or in part, in any form to any person without prior written consent from Collibra.

Liability
Although Collibra aims to provide industry standard education services in accordance with these Terms & Conditions, neither it, nor its trainers accept any liability for:
- any inaccuracy or misleading information provided in the programs or Training Material and any reliance by you on any such information;
- any loss or corruption of data;
- any loss of profit, revenue or goodwill;
- any indirect, special or consequential loss arising from any breach of these Terms & Conditions.
Except to the extent that they are expressly set out in these Terms & Conditions, no conditions, warranties or other terms apply to the Collibra Bootcamp or eLearning Course, including any implied terms as to satisfactory quality, fitness for purpose or conformance with description.
Collibra’s total liability arising from or in connection with these Terms & Conditions and in relation to anything which Collibra may have done or not done in connection with these Terms & Conditions and the delivery of the Bootcamp (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to the amount of money (“Fees”) received by Collibra in connection with the relevant Bootcamp in relation to which a dispute has arisen.No claim may be brought more than 2 business days after the last date on which the Bootcamp concerned has finished or ceased to be provided by Collibra.
Customer shall be responsible for providing the following:
- Internet connectivity
If you book into an e-Learning, Virtual Bootcamp or Blended Course, you agree that the Course is provided via the Internet, which may be subject to periodic interruptions beyond the control of either party. Collibra is not responsible for network connectivity issues on your computer(s). You are responsible for your own access to the Internet and the interruption of this access or any general Internet outage shall not be considered a failure by Collibra to provide the Course. - System configuration
Collibra is neither responsible for configuring your computer(s) nor to support the software needed to run the course. Collibra is also not responsible for any impact the software may have Collibra shall not be liable to you for any breach of its obligations or termination under these Terms & Conditions arising from causes beyond its reasonable control, including, but not limited to, fires, floods, earthquakes, volcanoes and other Acts of God, terrorism, strikes, delay caused by transport disputes, failure to provide a Bootcamp or eLearning Course caused by a death in the trainer’s family, illness of the trainer, Government edict or regulation.

Payment
Except as otherwise provided herein, educational credits purchased hereunder are non-cancelable and non-refundable.
Credits are valid only during the year they are allocated to on the Order, unless otherwise stated. Bootcamps may be scheduled for dates after expiration of credits but within the calendar year of scheduling.
You are solely responsible for any and all expenses incurred in connection with Collibra travel to the On-site Bootcamps including, without limitation, hotel, rental car, meals, travel and taxes and any incidental expenses.

Transfers and Cancellation
Participants may transfer their registration for one Bootcamp to another Bootcamp up to 10 business days prior to the original Bootcamp date. Once a participant has transferred no refunds can be made for the cancellation of either Bootcamp. Only one transfer by any participant may be made.
If you cancel your participation in a Bootcamp:- all cancellations must be made no later than 5 business days before the start of the Bootcamp you are booked in; and
- Collibra will only accept cancellations that are made in writing by email or directly at Collibra’s Website where you booked;
If you fail to attend a Bootcamp, or you cancel within the 5 business days prior to the start of such Bootcamp, no refund will be provided.
No refunds shall be given for the cancellation of Bootcamps once you have accessed the Training Material, no matter when cancellation is notified to us or the time you have spent on it.
If Collibra cancels a Bootcamp, or changes course content:
- Collibra reserves the right to cancel a Bootcamp at any time, without incurring any additional liability. In such circumstances, Collibra will offer alternative dates, a full refund or a credit.

Terms of Private Bootcamp
Private Bootcamps can be held on-site or virtually. Private Bootcamps are not task or deliverable oriented project work and are consultative in nature. The Private Bootcamp’s hours are a co-operative effort with Customer. Collibra will offer guidance but shall not be responsible for any hardware or software modification or alteration.
Completion of the Private Bootcamps by attendees does not guarantee any certifications. Attendees must still take and pass all Collibra certification tests to become Collibra certified.
Collibra shall provide Training Materials necessary for the Private Bootcamp including:
- printed materials
- a cloud-based training instance of the Collibra Software (no support shall be provided for this training instance)
- attendee access to the training instance for 14 days from the start date of the Bootcamp
Private Bootcamps can be scheduled with Customer’s dedicated Collibra representative and are subject to Collibra personnel availability.
Private Bootcamps follow a predefined syllabus and are not customized.
Private Bootcamps must be utilized on consecutive days and cannot be utilized on a daily or hourly basis.

Requirements for a Private Bootcamp that is held on-site
Customer shall be responsible for providing the following:
- A private room, and enough seating for attendees
- Reliable internet connection for attendees and instructor
- Projector
- All access needed for the trainer to come on-site to Customer and gain internet access
- Travel expenses shall be billed monthly in arrears directly to the Customer according to Collibra’s standard travel and expense policy.
- Any and all catering of meals

Terms of Public Bootcamp
The dates and locations for a Public Bootcamp will be made available on the Collibra University.
Public Bootcamps are limited in scope as pre-defined by Collibra.
Collibra shall provide learning materials necessary for the training including:
- printed materials
- a cloud-based training instance of the Collibra Software (no support shall be provided for this training instance)

Termination
Collibra shall be entitled to terminate these Terms & Conditions and cease to provide you with any Education Services with immediate effect in the event that you:
- fail to pay any fees or reimbursable expenses when due;
- act in an aggressive, bullying, offensive, threatening or harassing manner towards any employee of Collibra, any instructor who provides the Bootcamps or any participant who attends any Bootcamp;
- cheat or plagiarize any work which you are required to prepare or submit in connection with the Bootcamp or eLearning Course or during any examination taken in connection with the Bootcamp or eLearning Course;
- steal or act in fraudulent or deceitful manner towards Collibra or Collibra’s employees or any other students who may be on our premises or attending our Bootcamps or eLearning Courses;
- intentionally or recklessly damage our property or the property of Collibra’s employees or other participants attending our Bootcamp or eLearning Course;
- are intoxicated through alcohol or illegal drugs while attending a Bootcamp;
- commit any criminal offense while on our premises or where the victim is our employee or participant in a Bootcamp;
- are otherwise in breach of these Terms & Conditions.

Entire Agreement and Severability
These Terms & Conditions are the entire agreement between you and Collibra relating to the Bootcamp or eLearning Course and supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Bootcamp or eLearning Course or any other subject matter covered by these Terms & Conditions. If any provision of these Terms & Conditions is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect.
